As reported in September, I resigned from my responsibilities as Corporate Secretary and Parliamentarian due to my Mother’s August passing in Illinois and the news of surprisingly complicated surgeries of my own. I felt it unfair to the board to try to accommodate my remote status, especially as it had escalated to that of an indeterminable length of time. I was informed that the board’s plan was to replace my positions with new director JoAnne Corry. [Editor’s note: the positions were NOT filled by Corry.]
I have since been keeping up with HSV governance and committee work via the YouTube channel and HSVPeople.com. During the September 16th Regular Board meeting, after Treasurer Foltz’s detailed report (timed at 58:47), Chairman Sherman commented, “Job well done.” However, after Director Avila’s question about supplementing over-all revenue, both GM King and Foltz made comments such that the board may need to invest some additional dollars into the F & B (Food & Beverage) crisis to give King a chance for a long-term success. Oddly, as if the encouragement of spending more money was a major transgression, Sherman’s very next statement (at 1:07:38) was a seriously toned: “Wayne, the Board would like to talk to you after this meeting.” Foltz appeared surprised, but replied, “O.K?” After a very pregnant pause, Sherman remarked, “No, just kidding”, as he and the rest of the board laughed at the joke – inappropriate as it was, based on what they had planned for Foltz that afternoon, evening, and next day.
In June of 2019, I received a call from then Director Podawiltz and soon to be Candidate Sherman, requesting me to accept the nomination of Corporate Secretary, Parliamentarian, and Treasurer (multi-tasking allowed by our bylaws) on installation day, 2020. Shortly thereafter, I courted Dan Aylward into joining the team as Treasurer – considered quite a win for Podawiltz and now “LTD”. Dan and I were asked not to run for a director’s seat, as it was important that all three LTD Candidates win the election. We were assured that as Ex-Oficio board members our jobs were extremely important; our opinions were equal to that of any other board member; and, that we would be involved in every board meeting, discussion, and decision, as we needed to be privy to all that was happening to be able to do our jobs effectively.
Never was it even intimated to me, Aylward (then followed by Foltz) that our jobs were temporary in nature. The only exception (if it could be regarded as that) was sometime in June of 2020 when Chair Podawiltz and Vice-Chair Sherman asked if I would give up the Secretary position so that Ella Scotty could continue to have enough to do (after Nalley’s contract termination). I said, “Of course, I would do anything to help Ella keep her job.” I had known Ella since 2015 – my first year as a director – and appreciated and liked her very much. None of us had known that 90+% of her job was the busywork of the Corporate Secretary’s position.
I did warn, however, that based on Incorporation Law and Robert’s Rules of Order, the Corporate Secretary position was much more than just the organization of packages, scheduling of meetings, and taking of minutes. And, when we asked Ella to take on the position, she said, “No way, that’s too much responsibility and way above my pay-grade”. So, the compromise was that I remain officially, signing documents and coordinating with Ella weekly, while Ella reverted back to doing the physical job requirements as it was when Nalley was Corporate Secretary.
Still, the effort to keep Ella employed was in no way a suggestion of either Corporate position being temporary. In fact, to the contrary, it was more important than ever, even supported by bylaw changes and the creation of the Finance and Planning Committee, to assure the Villagers the proper checks and balances that come with both positions being held by Volunteers, was soundly planted in place. This was vital so that there was no longer a chance of comingling Corporate Fiduciary Responsibilities with employee job duties, often creating a conflict of interest.
I was confused by the Board’s actions regarding Treasurer Foltz’s dismissal and more so surprised at reverting back to Employees holding the Corporate Positions. But, nothing compared to how offended and disappointed I was while reading the statements that appeared in the September 17th Eblast Announcement – misinforming the Village that we were merely players in a plan to strategically implement “short-term goals”…..untrue and unprofessional….we weren’t players, but we sure got “played”. My heart goes out to Wayne Foltz for all his hard work in the short time he served as Corporate Treasurer and Chairman of the Finance & Planning Committee. My sincerest gratitude, along with a debt I will never be able to repay, goes to Dan Aylward, who said “Yes” without a moment’s hesitation when I asked him to join me and the (hopefully) “new” team. In my humble opinion, Dan quite may have been the best thing that ever “could have” happened to Hot Springs Village. He and his lovely wife Donna (who was also a great asset to HSV), have since moved to Florida. How many extraordinary residents like Dan Aylward, or Phil Lemler, do we have to lose until we realize we are heading down a slippery slope to a place we will not recognize as the Paradise we call our Home – Hot Springs Village?

Probably just the tip of the ice berg. Hopefully, the full truth will continue to surface. This is exactly why we need a structure change, like right now. A newly sworn in board member trying to manipulate a future board election and officer appointments, seemingly misleading those who’ve been asked to volunteer for the assignments, subsequently casting those same volunteers aside, being removed as Chair, while the new board finishes the ultimate plan in secrecy and hypocrisy after several seat changes of their own. Where do we sign the incorporation petition?

Diana – you should recall, way before Dan Aylward joined the cause, you had asked me what I thought about Clark Vernon as Treasurer. I concurred, however, you said he felt it might be an issue because he is hard of hearing and didn’t know how this would affect his ability to perform in that position. With my extensive Finance background, I committed to be his back-up if it didn’t work out or you did not find someone else suitable.
Shortly thereafter, you told me Clark decided not to try, but we were still covered at that time with me in both positions, as provided by our bylaws.
As you continued to search for a candidate for treasurer, you must recall the evening when I phoned you at home and said, “I think I have found the perfect person for treasurer.” You asked me who, and I said, “I would rather find out if he is even interested before I get your hopes up – I will call right back either way.”
Within 10 minutes, I called you back with the news that Dan Aylward said “Yes”! Excitedly, you said you had never actually met him, but he would be one of your first choices. Now realizing that you two had never spoken, I immediately set up a lunch for all of us (you, me, Dan and his wife Donna).
We met at Raffaella Rose and you and Dan seemed to have an instant connection, even discussing the possibility of the future GM turn-around position.
Diana -in brief, our initial plan to have me as back-up Treasurer is insignificant. What is significant is that you ultimately made the best possible choice for the Corporate Treasurer of the Hot Springs Village Property Owners’ Association and should be very proud.

Dan Aylward was probably the best hope for the Village … he should have run for the board and been installed in the “Chair” position. The most recent chairs have done a terrible job of stewardship. Tom and Cindi were driving train wrecks … Diana (smart lady) was way over her head. Lloyd’s performance will bear out in time … so far, it isn’t looking promising. HSV needs leaders with large company strategic experience … expecting middle managers or small business entrepreneurs to do the job is a recipe for failure. Electing a board from people who have “good ideas” isn’t enough!

Elmo everyone knows Dan was over his head. The pontificating was a dead give away of his mid management pedigree, as was picking up his toys and leaving the sand box. At least the others had the guts to put their names on a ballot, get elected and roll up their sleeves for the long haul. Again I say where do we sign the incorporation petition?

Keith – I disagree … in the very first meeting Dan Aylward suggested we needed to get on top of our financial situation (he outlined some pretty grim numbers) and our priority should be marketing. Yet, the Chairwoman spent time prioritizing the “logging committee” and discussing issues like should staff members on committees get to vote. All important but miniscule when you are losing money every year. Everyone, including Nalley’s regime” stated that deferred maintenance was our biggest financial challenge (I mean read the CMP … its all over there as our biggest problem). We should have developed a committee to thoroughly analyze the specifics of how big a problem deferred maintenance was … this committee should have listed out ALL deferred maintenance … by project. Then, deferred maintenance projects should have been prioritized with hard estimates (from appropriate contractors or internally … at least 2 – 3 each). This would have given the board and GM an exact number to build a “catch up” strategy. Instead, they tried to estimate the cost of renovating the Balboa Club … no one knew what they were doing … or what the scope of the project would be … it was just a inexperienced exercise that proved fruitless. Dan Aylward saw we need specific numbers to build a financial plan. He was ignored! Anyone with “turn around” experience knows you have to get a good feel of where you are before you can decide where you want to go!

You seem very invested in Dan being remembered as competent and the one with all the right answers. Ok. I am not interested in playing who was more important, more equipped and more responsible. It is not working.

Keith … not saying Dan had all the right answers … I AM saying he was one of the few that had the business/management experience to see the immediate priorities for a turn around effort. I don’t understand your comment “it is not working” … exactly what is not working?

Gentlemen – just as an FYI, Dan and I were both asked to take these “ board voted” positions and NOT run for a board seat because that may have interfered with “LTD” All getting a seat. We obliged because we believed we were truly being considered part of the “team”.

Marci – I realize you made decisions for the LTD team … and congratulations for that. My comments were simply that Dan Aylward had the kind of business acumen and perspective HSV needs to get and stay on the right track. I would also put you (Marci) into that category. HSV needs to elect board representatives that have experience in dealing with the Village challenges … not electing people who just “have good ideas”. Good ideas are a start … but putting those good ideas into action is where the rubber meets the road. I believe both you and Dan have those qualities … and it is a shame you are not both on the board providing guidance.

I believe your “ counterpart” in this thread was intimating that if Dan was really committed he would have ran for a seat on the board – I wanted to point out that NOT running was the plan so all of LTD could get voted in (although I am unsure if the LTD plan turned out the way we hoped).
Thank you for your attention and on-going interest in the success of HSV.

Marci – I am sure that if Keith thinks things through … he will agree with you. In this case, Dan and your decision was based upon the strategic goals of LTD … most importantly, remove the CEO, restore financial controls and eliminate the CMP. Anyone with the ability to see the strategy (from 30,000 feet) would see that it made sense for you and Dan to NOT run … as it would have diluted the message and, potentially, the results. You and Dan did the right thing. In my opinion, it appears you both sacrificed personal ambitions for the good of HSV. I hope you will run in the next term.

Dear Elmo – I do believe I will. Care to join? We need a campaign manager, 3 or 4 more like minded people that will keep their promises and NO KOOL AIDE!!
In other words, I have a plan!

Marcy – I would not join … but thanks for the offer. A plan IS needed … not just a business plan to solve the financial challenges of HSV but also a plan to re-position who HSV is and what kind of Village it should be …. unfortunately, the past couple of administrations have broken the marketing/image model of HSV … this must be fixed now, as well. I would encourage you to recruit people like Mike Shumsky and others who have run large organizations. You cannot manage HSV with middle managers and accountants. The board needs large company strategic planning and CEO management experience. The POA has already chased many qualified businesspeople away!
